1. Agreement to Terms

This End-User License Agreement (“EULA” or “Terms”) constitutes a legally binding agreement between you or the entity you represent (“Customer” or “you”) and The Data Developers (“Company,” “we,” “us,” or “our”).

These Terms govern your access to and use of our proprietary data solutions, products, datasets, and associated documentation (collectively, the “Product”). This agreement applies to the use of the Product within any third-party cloud data platform (such as Databricks, Snowflake, Google BigQuery, etc.) or your own internal systems (each a “Platform”).

BY ACCESSING, DOWNLOADING, OR OTHERWISE USING THE PRODUCT, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE, DO NOT USE THE PRODUCT.

2. License Grant

Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-sublicensable, non-transferable, revocable license to access and use the Product solely for your internal business purposes within your designated Platform environment.

3. Restrictions on Use

The license granted in Section 2 is conditional upon your adherence to the following restrictions. You shall not, directly or indirectly:

a. Resell, sublicense, lease, distribute, or otherwise transfer the Product or any part thereof to any third party. b. Use the Product to provide services to third parties, such as in a service bureau or managed services arrangement. c. Modify, decompile, reverse engineer, or create derivative works of the Product’s underlying structure, schema, or delivery mechanism. (Note: This does not restrict you from creating derivative analytical works, models, or insights from the data content itself for your internal use). d. Remove, obscure, or alter any proprietary notices, copyright, or trademark legends on the Product. e. Use the Product for any illegal, unethical, or malicious purpose, or in any manner that violates applicable laws or regulations.

4. Intellectual Property Rights

We retain all right, title, and interest, including all intellectual property rights, in and to the Product. This includes the curated data, its structure, schemas, pipelines, and all related technology. No rights are granted to you hereunder other than as expressly set forth herein. You acknowledge that you do not acquire any ownership rights by using the Product.

You retain all ownership rights to your own data and to any new analyses, reports, machine learning models, or other intellectual property you create using the Product (“Customer Creations”), provided that such Customer Creations do not contain or replicate the raw Product data in a distributable format.

5. Term and Termination

This EULA commences on the date you first access the Product and continues for the duration of your paid subscription term. We may terminate this EULA immediately upon written notice if you breach any material term, particularly the restrictions outlined in Section 3. Upon termination, you must immediately cease all use of the Product and destroy any copies of the data residing in your systems.

6. Disclaimer of Warranties

THE PRODUCT IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITH ALL FAULTS AND WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE COMPANY EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

7. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT WILL THE COMPANY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOST PROFITS, DATA, OR GOODWILL) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PRODUCT.

IN NO EVENT WILL THE COMPANY’S AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS EULA EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE PRODUCT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

8. Indemnification

You agree to indemnify, defend, and hold harmless The Data Developers and its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your access to or use of the Product in violation of these Terms.

9. General Provisions

a. Governing Law: This EULA shall be governed by and construed in accordance with the laws of [Your State/Country], without regard to its conflict of law principles. b. Entire Agreement: These Terms, together with any applicable order form or marketplace agreement, constitute the entire agreement between you and the Company concerning the Product. c. Changes to Terms: We reserve the right to modify these Terms at any time. We will provide notice of material changes by posting the new Terms on our website or through other communication channels. d. Severability: If any provision of this EULA is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
